1. Corporate Compliance under the Companies Act: Ensuring comprehensive compliance with all applicable provisions of the Companies Act, 2013 including maintenance of statutory registers and records, filing of annual returns, financial statements, and other mandatory returns with the Registrar of Companies (ROC), and ensuring adherence to all regulatory requirements applicable to all the Corporate Clients. 2. Mergers & Acquisitions (M&A) – Legal Assistance: Providing substantive legal and secretarial assistance in corporate restructuring, mergers, acquisitions, amalgamations, and demergers, including co-ordination with legal counsel, preparation and review of transaction documents and filings with the National Company Law Tribunal (NCLT) and other statutory authorities related to Corporate Clients. 3. Legal Documentation: Drafting, reviewing, and vetting of legal documents including Memorandum of Understanding (MoUs), Agreements, Contracts, and other corporate documentation in compliance with applicable laws and regulations. 4. Board Meetings – Convening and Attending: Responsible for convening, organizing, and attending Board of Directors Meetings, Committee Meetings, and General Meetings of Companies in accordance with the Companies Act, 2013 and applicable Secretarial Standards, including drafting and issuance of notices, preparation of agendas, board notes and presentations, recording of minutes, and follow-up on action items. 5. Management: Collaborating with various departments: Accounts, Taxation, HR, Secretarial etc., external auditors and professionals. Demonstrated ability to multi-task, set priorities and manage projects with the concept of completion. 6. Interpersonal Skills: Liaison between Senior Management, employees and clients to ensure proper communication i.e. critical in addressing myriad problems and issues which requires immediate attention and resolution.
